Memory Lane Media, LLC: Terms and Conditions

 

1. Service Overview

- Memory Lane Media, LLC provides media transfer and digital conversion services to

convert home movies, photos, and other physical media formats into digital files. By

engaging our services, you agree to these Terms and Conditions.

 

2. Customer’s Responsibility

- Customers of Memory Lane Media, LLC are responsible for ensuring they have the

right to transfer or duplicate the media they submit. Memory Lane Media, LLC is not

liable for copyright infringement if materials provided are subject to intellectual property

restrictions.

- Customers are responsible for delivering the media safely to Memory Lane Media,

LLC and confirming receipt of their return media and digital files upon completion.

 

3. Media Handling and Liability

- We handle all media with care; however, Memory Lane Media, LLC is not liable for any

damage that may occur to your original media during the transfer process due to the

age or condition of the media.

- In the event of loss or damage, Memory Lane Media, LLC’s liability is limited to the

cost of replacing the physical media (if commercially available).

- If projects are mailed in, Memory Lane Media, LLC is not liable for loss of or damage

to physical media and digital outputs caused by third-party carriers including but not

limited to USPS, UPS, FedEx, or any other shipping or courier service. Clients assume

all risk associated with shipping to and from Memory Lane Media, LLC.

 

4. Conversion Quality and Limitations

- Memory Lane Media, LLC strives to deliver the highest quality transfer possible.

However, the final quality of the digital output may be affected by the original media’s

condition.

- We do not guarantee improvement or restoration of degraded media quality, including

color fading, audio distortion, or other issues inherent to aging media.

 

5. DVD and Blu-ray Compatibility

- Memory Lane Media, LLC provides DVDs as a physical output option for your

transferred media. Please note that DVDs may not be compatible with all Blu-ray

players, as not all Blu-ray devices support DVD playback.

- We recommend testing DVDs on a standard DVD player to ensure compatibility.

Memory Lane Media, LLC is not liable for playback issues arising from compatibility

limitations with Blu-ray or other media players.

 

6. Cloud Storage and Digital File Delivery

- Upon completion of the conversion process, Memory Lane Media, LLC offers cloud

storage as a delivery option for your digital files.

- Files stored in the cloud will be available for download for a period of up to 6 months

after delivery. After this period, files will be deleted unless you have made arrangements

for extended storage with Memory Lane Media, LLC.

- While we make every effort to ensure the security of cloud-stored files, Memory Lane

Media, LLC is not liable for data loss, unauthorized access, or technical issues related

to third-party cloud storage providers. We recommend that customers download and

securely back up their files promptly

 

7. Turnaround Time

- Estimated completion times are provided at the start of the project, but Memory Lane

Media, LLC cannot guarantee exact delivery dates due to variables such as media

condition and order volume.

- If an expedited service is required, additional fees will apply.

 

8. Privacy and Confidentiality

- All media and digital files are handled with strict confidentiality. Your media and

personal data will not be shared with third parties without your consent, except as

required by law.

 

9. Payments, Refunds and Non-Payment Policy

 

- Payment for services rendered by Memory Lane Media, LLC is due in full upon

completion of the project. Clients will be notified when their project is ready, and

payment is expected within 7 days of receiving this notification. Some projects may

require a downpayment at the discretion of Memory Lane Media, LLC. Memory Lane

Media, LLC accepts credit/debit card, cash or certified payment.

- Due to the custom nature of our services, refunds are not available.

- If there are concerns with the quality of the transfer, Memory Lane Media, LLC will

review and rework the transfer provided that the concerns are communicated within 14

days of delivery. Rework requests are subject to an assessment of the original media’s

condition and inherent limitations in quality.

- Late Payment - If payment is not received within 30 days of project completion, a late

fee of 1.5% per month may be applied to the outstanding balance.

- Retention and Disposal of Original Media and Final Digital Media - Memory Lane Media,

LLC will securely store clients' original media (e.g., tapes, photos, films) and final digital

media for up to 60 days following project completion. After 60 days of non-payment,

Memory Lane Media, LLC reserves the right to dispose of the original media and final

digital media without further notice, and the client releases Memory Lane Media, LLC

from any liability related to such disposal.

- If a customer chooses to cancel a project after drop-off, a non-refundable processing

fee of 75% of the estimated project cost will be charged to cover intake, inspection, and

preparation of the client’s media. Payment is due within 7 days of notification of

cancellation.  If payment is not received within 30 days of project completion, a late fee

of 1.5% per month may be applied to the outstanding balance. No media will be

returned until all applicable cancellation and processing fees are paid in full via

guaranteed funds (credit/debit card, cash, or certified payment). After 60 days of non-

payment, Memory Lane Media, LLC reserves the right to dispose of the original media &

final digital media without further notice, and the client releases Memory Lane Media,

LLC from any liability related to such disposal.

 

10. Ownership of Final Digital Media

- The customer retains ownership of the original media and the resulting digital files.

Memory Lane Media, LLC does not retain ownership or responsibility for the use of any

transferred content.

- Memory Lane Media, LLC does not retain a copy of the digital files.

 

11. Warranty and Limitation of Liability

- Memory Lane Media, LLC will use commercially reasonable efforts to perform services

rendered in accordance with generally accepted standards prevailing in the profession.

There can be no assurance, despite Memory Lane Media, LLC’s reasonable efforts, that

the customer will be satisfied with final product. Memory Lane Media, LLC its

employees or contractors, cannot ensure that customer will achieve any specific results

even if communicated in advance to Memory Lane Media, LLC. This warranty is in lieu

of all other warranties, express or implied, including without limitation, the implied

warranties of merchantability and fitness for a particular purpose. Memory Lane Media,

LLC specifically disclaims any express or implied warranties regarding the condition,

usability, or suitability of the original or converted media.

- Except as otherwise specifically set forth herein, Memory Lane Media, LLC’s total

liability to customer is limited to the fees paid for services rendered, and Memory Lane

Media, LLC is not liable for any incidental, indirect, or consequential damages.

 

12. Governing Law

- This Agreement and all matters arising out of, or relating to this Agreement, including

tort and statutory claims are governed by, and construed in accordance with, the laws of

Pennsylvania, (including its statutes of limitations), without giving effect to any conflict of

laws provisions thereof that would result in the application of the laws of a different

jurisdiction.

- Either Party shall institute any legal suit, action, or proceeding arising out of or relating

to this Agreement in the Court of Common Pleas of Indiana County, Pennsylvania.

Each party hereby irrevocably and unconditionally: (A) consents and submits to the

exclusive jurisdiction of the aforementioned courts; and (B) waives any objection to that

choice of forum based on venue or to the effect that the forum is not convenient; (C)

waives any right to trial by jury; and (D) waives personal service of any summons,

complaint or other process, which may be made by any other means permitted by

Pennsylvania law.

By submitting your media to Memory Lane Media, LLC for conversion, you acknowledge
